These Terms of Service ("Terms") govern your access to and use of services provided by C & I Limited ("we", "us", "our"). By engaging our services, making a payment, or accepting a proposal, you agree to be bound by these Terms.
Please read these Terms carefully. If you do not agree, please do not engage our services.
1. Acceptance of Terms
These Terms constitute a legally binding agreement between you ("Client") and C & I Limited. Acceptance occurs when you:
- Sign or approve a project proposal or quotation
- Make a payment for any service
- Activate a hosting or domain registration service
- Create a client portal account
2. Our Services
C & I Limited provides the following services, subject to these Terms and any specific service agreements:
- Domain name registration and management
- Web hosting and email hosting
- SSL certificate procurement and installation
- Website design, development, and maintenance
- Network installation and structured cabling
- IT support — remote and on-site
- Server supply, installation, and maintenance
- ICT consultation
Service specifications, deliverables, timelines, and pricing are defined in individual proposals and invoices provided to each client.
3. Client Accounts
When we create a client portal account for you:
- You are responsible for maintaining the confidentiality of your login credentials
- You are responsible for all activity under your account
- You must notify us immediately at info@candilimited.com if you suspect unauthorised access
- You must provide accurate, complete information and keep it updated
4. Payment Terms
4.1 Invoicing
All invoices are issued in Nigerian Naira (₦) unless otherwise agreed. Payment is due within the timeframe stated on the invoice (typically 7 days for project deposits, 30 days for recurring services).
4.2 Deposits
For new website design and networking projects, we require a 50% deposit before work commences. The balance is due upon project completion and before final delivery / handover.
4.3 Late Payment
Overdue invoices are subject to a 2% monthly late payment charge. Services may be suspended for accounts overdue by more than 14 days. Suspended services are restored within 24 hours of payment being received.
4.4 Renewals
Domain registrations, hosting plans, SSL certificates, and maintenance contracts are renewed annually or monthly as specified. We will send reminder notices at 60, 30, and 7 days before expiry. Non-renewal by the expiry date may result in service suspension or domain expiry.
4.5 Refunds
- Domain registrations: Non-refundable once registered (per ICANN and registrar policy)
- Hosting and SSL: Pro-rata refund available within 7 days of purchase for unused periods
- Website design deposits: Non-refundable once work has commenced
- Completed projects: Non-refundable
- IT support retainers: Refundable pro-rata with 30 days' notice
5. Domains & Hosting
5.1 Domain Registration
Domain registrations are subject to availability and the terms of the relevant registry (NiRA for .ng/.com.ng, ICANN for .com/.org). We act as your registrar agent. Ownership of registered domains rests with the client. We will transfer the domain to another registrar upon request with reasonable notice.
5.2 Hosting Uptime
We target 99.9% monthly uptime for shared hosting plans. Scheduled maintenance windows will be communicated at least 24 hours in advance. We are not liable for downtime caused by circumstances outside our control (DDoS attacks, upstream provider outages, force majeure).
5.3 Hosting Content
You are solely responsible for all content hosted on our servers. Content must comply with our Acceptable Use Policy (Section 8) and all applicable Nigerian laws.
5.4 Backups
We maintain server-level backups for our hosting plans. However, clients are responsible for maintaining their own independent backups of website files and databases. We will make reasonable efforts to restore from backup but do not guarantee complete data recovery in all circumstances.
6. Website Design Projects
6.1 Client Responsibilities
For website projects, you agree to:
- Provide all required content (text, images, logos) within 14 days of project commencement
- Provide feedback on design mockups within 7 days of delivery
- Designate a single point of contact for approvals
Project delays caused by late content delivery or feedback may result in revised timelines and additional charges.
6.2 Revisions
Each project includes a defined number of revision rounds as specified in the proposal. Additional revisions beyond the agreed scope are charged at ₦15,000/hour.
6.3 Ownership Transfer
Full ownership of the completed website (design files, code, and content) transfers to you upon receipt of final payment in full.
7. IT Support Services
7.1 On-site Services
On-site IT support is provided within our service coverage areas. Travel costs outside our primary coverage area may be charged separately.
7.2 Retainer Services
Monthly IT retainer contracts include the specific services detailed in the retainer agreement. Services outside the retainer scope are quoted separately. Retainer hours do not roll over to the following month.
7.3 Data & Equipment
We handle your equipment and data with appropriate care. However, we recommend clients maintain backups before any maintenance or repair work. C & I Limited is not liable for pre-existing hardware faults or data loss where no backup was maintained.
8. Acceptable Use Policy
You must not use our hosting or any C & I Limited service to:
- Host, transmit, or distribute unlawful, defamatory, fraudulent, or abusive content
- Send unsolicited bulk email (spam)
- Host phishing pages, malware, or content that violates third-party intellectual property rights
- Conduct any activity that violates the laws of the Federal Republic of Nigeria
- Use server resources in a way that degrades service quality for other clients
- Attempt to gain unauthorised access to our systems or third-party systems
Violation of this policy may result in immediate service suspension without refund.
9. Intellectual Property
Until full payment is received:
- All design files, code, and work product created by C & I Limited remain our intellectual property
- We may use completed projects in our portfolio with your implied consent (to withdraw, notify us in writing)
You confirm that any content (text, images, logos) you provide to us does not infringe any third-party intellectual property rights. You indemnify us against any claims arising from content you supply.
10. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the course of the engagement. This obligation survives termination of the service relationship for a period of 3 years.
We will not disclose your business information to third parties except as required to deliver the services or as required by law.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total liability to you for any claim arising from or related to our services is limited to the amount you paid us in the 3 months preceding the claim
- We are not liable for indirect, consequential, or incidental damages including lost profits, lost data, or business interruption
- We are not liable for events outside our reasonable control (force majeure, ISP outages, power failures, natural disasters)
- We are not liable for domain expiry or data loss where renewal reminders were sent and not acted upon
Nothing in these Terms excludes liability for death or personal injury caused by our negligence, or for fraudulent misrepresentation.
12. Termination
12.1 By You
You may terminate recurring services (hosting, IT retainer) with 30 days' written notice. Outstanding invoices must be settled before termination is processed.
12.2 By Us
We may terminate or suspend services with 14 days' notice for:
- Non-payment of invoices overdue by more than 30 days
- Breach of our Acceptable Use Policy
- Provision of false information
We may terminate immediately (without notice) for serious breaches including illegal activity or security violations.
13. Dispute Resolution
In the event of a dispute, we encourage parties to first attempt resolution through direct negotiation. If unresolved within 30 days, disputes will be referred to mediation or, if necessary, the courts of the Federal Republic of Nigeria.
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
14. Changes to These Terms
We may update these Terms periodically. We will notify active clients of material changes with at least 14 days' notice by email. Continued use of our services after that date constitutes acceptance of the updated Terms.
